Terms of Service

  1. Overview

Welcome to The Loyals Design (“Company,” “we,” “our,” or “us”). By engaging our services, you (“Client,” “you,” or “your”) agree to the following Terms of Service. These terms govern all design, branding, and UX services provided by The Loyals Design.

  1. Services

The Loyals Design provides branding, UX/UI design, product design, and related creative services. Scope of work, deliverables, timelines, and pricing will be defined in a separate agreement, proposal, or statement of work (“SOW”).

  1. Engagement Model

We offer both:

  • Project-based services (fixed scope and deliverables)

  • Subscription-based design services (ongoing design support)


Rush Work

Expedited timelines may incur additional fees.


Specific terms for your engagement will be outlined in your agreement.

  1. Payment Terms

All fees are outlined in your proposal or agreement

Payments are due:

  • Upfront for project-based work unless otherwise stated

  • Monthly in advance for subscription services

  • Late payments may result in:

  • Paused work

  • Delayed delivery timelines


We reserve the right to withhold final deliverables until full payment is received.

  1. Revisions & Feedback

Reasonable revisions are included as defined in your SOW

  • Additional revisions outside scope may incur extra fees

  • Timely feedback is required to keep projects on schedule


Delays in feedback may result in timeline adjustments.

  1. Client Responsibilities

You agree to:

  • Provide accurate and complete information

  • Supply necessary content, assets, and approvals

  • Ensure you have rights to all materials you provide


The Loyals Design is not responsible for delays caused by missing or incomplete client input.

  1. Intellectual Property

Final Deliverables

Upon full payment:

  • You receive ownership of final approved deliverables

  • Ownership applies only to final files, not drafts or unused concepts


Work in Progress

All drafts, concepts, and unused designs remain the property of The Loyals Design Co.


Portfolio Rights

We reserve the right to:

  • Display completed work in our portfolio

  • Use work for marketing and promotional purposes


Unless otherwise agreed in writing.

  1. Third-Party Tools & Assets

We may use third-party tools, libraries, or assets (e.g., fonts, stock imagery, UI frameworks).

  • Licensing for these assets may be subject to third-party terms

  • You are responsible for purchasing any required licenses unless explicitly included

  1. Confidentiality

Both parties agree to:

  • Keep confidential information private

  • Not disclose proprietary or sensitive business information


This obligation survives termination of services.

10. Termination

Either party may terminate the agreement with written notice.

Upon termination:

  • The Client is responsible for payment for all work completed up to termination

  • Any prepaid fees are non-refundable unless otherwise agreed


We reserve the right to terminate services for:

  • Non-payment

  • Misuse of services

  • Breach of these terms

  1. . Limitation of Liability

The Loyals Design is not liable for:

  • Indirect, incidental, or consequential damages

  • Loss of revenue, profits, or business opportunities

Our total liability is limited to the amount paid for the services rendered.

  1. . No Guarantees

While we aim to deliver high-quality design work, we do not guarantee:

  • Business outcomes (e.g., increased revenue, conversions)

  • Specific performance results

  1. . Revision of Terms

We reserve the right to update these Terms of Service at any time. Continued use of our services constitutes acceptance of any changes.

14. Governing Law

These terms are governed by the laws of the State of Virginia, United States.

16. AI Usage Clause

We may use AI-assisted tools to enhance efficiency, but all final deliverables are reviewed and approved by a human designer.
